En las últimas décadas, la revolución tecnológica ha ocasionado la eclosión del fenómeno start-ups, término que engloba a las sociedades de reciente creación con un gran potencial de crecimiento a través de un modelo de negocio disruptivo y escalable. El auge de estas sociedades ha supuesto un notable aumento de los pactos parasociales caracterizados por ser acuerdos celebrados entre socios con la finalidad de regular cuestiones societarias no establecidas en los estatutos. Para analizar la naturaleza de esta figura, se ha estudiado el caso de la start-up Oasis Analítica radicada en Sevilla. A partir de los resultados de este trabajo, se observa que los pactos parasociales son fundamentales en el marco de las start-ups, ya que permiten una gestión flexible, superando la rigidez impuesta por la normativa societaria, logrando adaptarse a la constante evolución de las start-ups. Por otra parte, su amplia utilización no impide que esta figura siga suscitando una notable controversia en cuanto a su eficacia y validez. |
