Abstract | El Consejo de Administración, como uno de los órganos principales de gobierno de una sociedad, especialmente de las de gran tamaño, ha sufrido variaciones a lo largo de su historia. Uno de los factores que más cambios ha ... El Consejo de Administración, como uno de los órganos principales de gobierno de una sociedad, especialmente de las de gran tamaño, ha sufrido variaciones a lo largo de su historia. Uno de los factores que más cambios ha producido en esa figura es la aparición del concepto de gobierno corporativo, junto con los códigos de buen gobierno. Analizamos en este trabajo los cambios que los códigos de buen gobierno y la Ley de Sociedades de Capital han provocado en el consejo de administración, con el principal objetivo de reducir la brecha entre la información con la que cuentan los accionistas y los administradores de la sociedad, tratando de acercar los intereses de éstos, y fomentando un consejo de administración más transparente, participativo y eficiente. Igualmente, analizamos el grado de cumplimiento de las recomendaciones del último código de buen gobierno en las empresas del Ibex 35, así como los principales cambios que este código introduce con respecto al anterior del año 2013 |
