contable en los estados financieros de la sociedad adquirente. Esto ... Esta investigación aborda el estudio de las combinaciones de negocios entre empresas bajo control común y las diversas propuestas sobre su tratamiento contable en los estados financieros de la sociedad adquirente. Esto viene a raíz de que no hay una normativa comunitaria establecida sobre cómo han de registrarse estas operaciones, ya que se encuentran fuera del ámbito de aplicación de las normas internacionales, concretamente de la NIIF 3. Por lo tanto, cada país ha procedido a crear sus propias políticas contables sobre cómo tratar estas combinaciones de negocios. Sin embargo, al igual que para el resto de operaciones empresariales, resulta necesaria una armonización contable, para hacer estas operaciones más comparables unas con otras, así como entre diferentes países. Con el fin de alcanzar un tratamiento uniforme, o al menos comparable, para este tipo de transacciones, partimos del estudio ofrecido por el Consejo de normas internacionales de contabilidad, un Discussion Paper, en el que plantea estas situaciones, así como posibles soluciones y sus conclusiones finales. Posteriormente, analizaremos una muestra de las diferentes respuestas que ha obtenido el Consejo sobre este estudio planteado, y observar cómo presentan diferentes países opiniones contrapuestas. Del mismo modo, nos beneficiaremos de un proyecto de investigación realizado por el Consejo de Corea sobre normas de contabilidad sobre este tipo de operaciones hace casi una década; y así podremos estudiar la evolución del tratamiento contable de diversos países sobre estas operaciones. En base a las diferentes opiniones y evoluciones presentadas por los diferentes organismos, observaremos una heterogeneidad sobre el tratamiento de las combinaciones de negocios para empresas bajo control común. De ahí que el proyecto planteado por el IASB ponga en evidencia la situación actual, siendo de gran relevancia para aclarar el tratamiento de estas operaciones y buscando alguna solución a estos casos. This research addresses the study of business combinations under common control and the various proposals for their accounting treatment in the financial statements of the acquiring company. This is because there is no established community standard on how these transactions are to be recorded, as they are outside the scope of international standards, namely IFRS 3. Therefore, each country has proceeded to create its own accounting policies on how to treat these business combinations. However, as for all other business transactions, accounting harmonisation is necessary to make these transactions more comparable with each other, as well as between different countries. In order to achieve a uniform, or at least comparable, treatment for this type of transactions, we start from the study offered by the International Accounting Standards Board, a Discussion Paper, in which it raises these situations, as well as possible solutions and its final conclusions. Subsequently, we will analyse a sample of the different responses obtained by the IASB on this study, and observe how different countries present conflicting opinions. Similarly, we will benefit from a research project carried out by the Korean Accounting Standards Board on these types of transactions almost a decade ago; and thus we will be able to study the evolution of different countries' accounting treatment of these transactions. Based on the different opinions and developments presented by the several bodies, there is heterogeneity in the treatment of business combinations under common control. For this reason the project proposed by the IASB highlights the current situation, being of great relevance to clarify the treatment of these transactions and seeking a solution to these cases. |
